Business Terms

You represent and warrant that:

1. you have authority to bind the Business and every location or brand you add;
2. all registration, ownership, tax, banking, licensing, insurance, and contact information you provide is complete, accurate, and current;
3. the Business is legally formed and authorized to operate where it offers services;
4. each person using the Business account is authorized and assigned an appropriate role; and
5. the Business is responsible for all activity performed through its accounts, users, locations, devices, and staff.

You must promptly remove access for former employees, contractors, or representatives and notify aiMyDeal of suspected unauthorized access.

The Business is an independent service provider and is not an employee, agent, partner, joint venturer, franchisee, representative, or subcontractor of aiMyDeal, except for the limited payment-collection agency expressly described in Section 9.

Unless checkout expressly identifies aiMyDeal as the seller:

• the Business is the seller and provider of the underlying service;
• the customer’s service contract is with the Business;
• the Business controls scheduling, staffing, service methods, fulfillment, safety, licensing, pricing, taxes, and customer outcomes; and
• aiMyDeal provides marketplace, software, payment-facilitation, promotion, and administrative technology only.

Nothing in the Platform creates authority for the Business to bind aiMyDeal or make promises on aiMyDeal’s behalf.

aiMyDeal may require information or documentation concerning identity, ownership, tax status, Business registration, licenses, insurance, locations, banking, payment eligibility, sanctions screening, or beneficial ownership.

You authorize aiMyDeal and its service providers to verify that information. aiMyDeal may delay publishing, payments, payouts, or access until verification is complete.

Verification, approval, moderation, or continued access does not constitute certification, endorsement, or a guarantee that the Business complies with law.

The Business must maintain all licenses, registrations, permits, approvals, insurance, bonds, certifications, and professional qualifications required for its services and locations.

The Business is solely responsible for compliance with applicable:

• consumer-protection and advertising laws;
• professional and occupational rules;
• health, safety, accessibility, and anti-discrimination laws;
• tax and recordkeeping laws;
• privacy and communications laws;
• pricing, gift-certificate, coupon, and promotion rules;
• employment and contractor obligations; and
• industry-specific requirements.

Upon request, the Business must provide current evidence of compliance. aiMyDeal may require minimum insurance coverage for selected categories or higher-risk services.

Every Offer must be accurate, complete, current, lawful, and not misleading.

Before publication, the Business must clearly disclose all material terms, including where applicable:

• the service or benefit included;
• regular price and promotional price;
• discount calculation or savings claim;
• start and end dates;
• availability, Claim, and redemption windows;
• eligible days and times;
• participating locations;
• customer eligibility;
• quantity, capacity, or per-customer limits;
• reservation requirements;
• deposits, reservation fees, taxes, or additional charges;
• cancellation and refund terms;
• expiration;
• blackout dates; and
• exclusions or prerequisites.

The Business must honor each valid Claim or purchase according to the terms displayed when the customer completed the transaction, unless performance would violate law or create a genuine safety risk.

The Business may not retroactively change an already-issued Claim to the customer’s detriment. If the Business cannot honor a valid transaction, it must promptly provide an appropriate reschedule, substitute accepted by the customer, or refund as required by the Refund Policy or law.

The Business is responsible for the accuracy and legality of prices, reference prices, percentage discounts, estimated savings, fees, taxes, and promotional claims.

A stated regular price must be genuine and supportable. The Business may not inflate a reference price or advertise false scarcity, fabricated capacity, or misleading savings.

Unless aiMyDeal is legally required or expressly agrees otherwise, the Business is responsible for determining, collecting, reporting, and remitting all sales, use, income, franchise, payroll, lodging, service, and other taxes associated with its operations and customer transactions.

Taxes imposed on aiMyDeal’s subscription, add-on, or Platform charges are addressed in Section 13.

The Business is responsible for every location, employee, contractor, manager, and staff user associated with its account.

The Business must:

• keep location, hours, contact, accessibility, and service information current;
• assign the least privilege reasonably needed to each user;
• train staff to validate Claims and redemption codes correctly;
• prevent duplicate or unauthorized redemption;
• protect customer and transaction information;
• supervise service delivery and customer interactions; and
• maintain internal procedures for refunds, complaints, fraud, and emergencies.

Business administrators are responsible for reviewing account activity and promptly reporting suspicious behavior.

The Business may access customer information only to:

• verify eligibility;
• fulfill a Claim, Reservation, or purchase;
• communicate about the transaction;
• provide customer support;
• prevent fraud;
• process a cancellation or refund; or
• comply with law.

The Business may not:

• sell customer information;
• use it for unrelated marketing without legally sufficient consent;
• add customers to external marketing lists merely because they claimed an Offer;
• disclose it to unauthorized persons;
• use it to discriminate or retaliate;
• submit medical records, diagnoses, treatment details, genetic data, biometric identifiers, consumer health data, or other sensitive information to aiMyDeal unless a Platform feature expressly requests it; or
• retain customer information longer than reasonably necessary.

The Business is independently responsible for its own privacy notices, data-security practices, breach response, retention obligations, and lawful communications outside the Platform.

Payments may be processed by third-party payment processors. The Business agrees to all payment-processor terms, verification requirements, prohibited-activity rules, and network requirements that apply to its use.

When the Business is identified as the seller, the Business appoints aiMyDeal as its limited payment collection agent solely to accept customer payments on its behalf. Payment successfully received by aiMyDeal or its payment processor on behalf of the Business satisfies the customer’s payment obligation to the Business for that amount, subject to reversal, refund, chargeback, or other lawful adjustment.

The Business authorizes aiMyDeal and its payment providers to transmit transaction information, allocate funds, deduct disclosed fees, administer refunds and disputes, and settle amounts in accordance with the applicable checkout, processor terms, and these Business Terms.

aiMyDeal does not guarantee that a payment, authorization, payout, or transfer will be completed.

Payout timing is subject to payment clearance, processor rules, account verification, refunds, disputes, reserves, and risk review.

aiMyDeal may delay, hold, reserve, offset, reverse, or deduct amounts where reasonably necessary to address:

• refunds;
• cancellations;
• chargebacks or disputes;
• suspected fraud or prohibited conduct;
• negative balances;
• payment-processor requirements;
• legal obligations;
• failure to honor Offers;
• account closure;
• inaccurate information; or
• amounts owed to aiMyDeal.

The Business must maintain sufficient funds and a valid payment method to cover amounts it owes. aiMyDeal may recover those amounts from current or future payouts, reserves, an authorized payment method, or an invoice.

The Business is primarily responsible for refunds relating to its services, Offer accuracy, availability, cancellations, nonperformance, customer treatment, and legal obligations.

The Business must:

• respond promptly to refund and dispute requests;
• provide requested records and evidence;
• honor refund rights stated in the Offer or required by law;
• not direct customers to file false chargebacks;
• not retaliate against customers who exercise lawful rights; and
• reimburse aiMyDeal for Business-responsible refunds, reversals, chargebacks, penalties, and related costs.

aiMyDeal may issue or administer a refund where reasonably necessary to protect customers, comply with law or payment-network rules, correct an error, or address the Business’s failure to respond. aiMyDeal may recover that amount from the Business.

The Refund, Cancellation, and Dispute Policy is incorporated into these Business Terms.

12.1 Enrollment and automatic renewal

Paid Business plans may renew automatically until canceled. Before enrollment, aiMyDeal will disclose the recurring price, billing frequency, renewal terms, material plan limitations, taxes where applicable, and available cancellation method.

By subscribing, the Business authorizes aiMyDeal and its payment processor to charge the applicable subscription fees and taxes to the authorized payment method at the beginning of each billing period until cancellation or termination takes effect.

12.2 Cancellation

The Business may cancel through the available billing controls or another method clearly identified by aiMyDeal. Unless applicable law or a signed order form provides otherwise:

1. cancellation stops the next renewal and takes effect at the end of the current paid billing period;
2. access continues through the remainder of that paid period;
3. current and prior fees are non-refundable;
4. no prorated refund or credit is due;
5. nonuse, unused capacity, unused locations, unused users, or unused features do not create a refund; and
6. all fees incurred before cancellation takes effect remain payable.

Canceling a Business subscription does not automatically delete the Business account or records that aiMyDeal is required or permitted to retain.

12.3 Failed or disputed payments

The Business must maintain a valid payment method and accurate billing information. If a payment fails, is reversed, or is disputed, aiMyDeal may:

1. retry the authorized payment method;
2. request another payment method;
3. restrict or downgrade paid functionality;
4. suspend the Business account or its ability to publish new Offers;
5. terminate the subscription after reasonable notice;
6. offset the amount against other amounts payable to the Business; or
7. pursue lawful collection of amounts due.

Suspension does not cancel or waive amounts already incurred. Recurring charges stop only when cancellation or termination takes effect. aiMyDeal will provide any notice or opportunity to cure required by law or an applicable order form.

12.4 Plan and price changes

aiMyDeal may prospectively modify plan features, usage limits, eligibility requirements, or subscription prices.

A material price increase or materially adverse plan change for an existing paid subscriber will receive at least 30 days’ advance notice and will take effect no earlier than the subscriber’s next renewal date, unless a longer period is required by law or contract. The Business may cancel before the change takes effect.

aiMyDeal may discontinue a plan. When reasonably practicable, aiMyDeal will offer migration to a replacement plan. If aiMyDeal ends a prepaid plan before the end of the paid period and does not provide a substantially similar replacement, the Business’s exclusive contractual remedy will be a prorated credit or refund for the unused prepaid period, except where law requires another remedy.

12.5 Reactivation

A canceled, expired, or terminated subscription that is later reactivated will be treated as a new subscription under the plans, prices, features, limits, and terms then available.

A prior promotional, introductory, or founding price does not survive cancellation, expiration, nonpayment, chargeback, downgrade, migration, or another lapse unless aiMyDeal expressly agrees otherwise in writing.

12.6 Founding pricing

Founding pricing is promotional and is not a lifetime price guarantee.

The stated founding price applies only while the Business maintains an uninterrupted paid subscription to the same eligible Founding Plan. It ends upon cancellation, expiration, nonpayment, chargeback, downgrade, migration to another plan, or another lapse.

Any later reactivation is at the then-current price unless aiMyDeal agrees otherwise in writing. aiMyDeal may discontinue or materially modify a Founding Plan, or change its price prospectively, in accordance with Section 12.4 and applicable law.

The Business agrees to pay all subscription, transaction, featured-placement, campaign, service, processor, dispute, chargeback, add-on, and other fees disclosed before the charge or stated in an applicable order form.

Unless expressly stated otherwise, aiMyDeal fees exclude applicable sales, use, excise, gross-receipts, and similar transaction taxes. Taxes are not included in a founding, promotional, or other stated price unless expressly disclosed.

The taxability and sourcing of aiMyDeal subscription, add-on, featured-placement, campaign, and other Platform charges may depend on the nature of the charge, the Business’s billing address, primary service location, participating locations, the locations of authorized users, the jurisdictions where the Platform is received or used, and other facts required by applicable law. aiMyDeal may calculate, collect, and remit taxes where legally required and may use a reasonable interpretation of applicable sourcing rules and the information available to it.

The Business must provide complete, accurate, and current billing, service-location, user-location, exemption, and other tax-related information and must promptly report changes. For a subscription used in more than one state or local jurisdiction, the Business must provide a reasonable allocation of use when requested. If the Business does not provide sufficient information, aiMyDeal may source or allocate the charge using the information reasonably available to it.

The Business is responsible for applicable taxes that aiMyDeal is not legally required to collect, including any use tax or similar self-assessed obligation, other than taxes based on aiMyDeal’s net income, property, or personnel. A Business claiming an exemption must provide a valid exemption certificate or other required documentation before the applicable charge. aiMyDeal may correct tax calculations on a later invoice, credit, or refund where permitted or required by law.

Paid add-ons may be subject to separate one-time or recurring charges, usage limits, minimum terms, or additional conditions disclosed before purchase. A recurring add-on will renew with the underlying subscription or on the separately disclosed billing schedule until canceled.

Cancellation or termination of the underlying subscription may also terminate associated add-ons. Add-on fees are non-refundable except as expressly stated, required by law, or provided in the Refund, Cancellation, and Dispute Policy.

aiMyDeal may deduct fees from payouts or charge an authorized payment method. Failure to pay may result in reduced access, payout holds, suspension, collection activity, or termination as provided in these Business Terms.

Featured placement, sponsorship, and campaign services do not guarantee impressions, Claims, redemptions, appointments, customers, leads, revenue, ranking, or other results unless a signed order expressly states otherwise.

The Business must ensure all sponsored content is accurate, lawful, and appropriately disclosed. Campaign fees are governed by the Refund Policy and any applicable order form.

The Business may not use aiMyDeal for unlawful, deceptive, unsafe, infringing, sanctioned, restricted, or prohibited activity.

Without written approval, the Business may not publish or facilitate Offers involving goods or services that aiMyDeal or its payment processors prohibit, including activities that create unusual legal, financial, safety, privacy, reputational, or chargeback risk.

The Business may not:

• publish bait-and-switch promotions;
• conceal material restrictions;
• create false availability or urgency;
• manipulate reviews, rankings, Claims, redemptions, or analytics;
• redeem codes without customer authorization;
• create sham Claims or transactions;
• access another tenant, Business, location, customer, or record without authorization;
• scrape or reverse engineer the Platform;
• evade fees or plan limits;
• interfere with security or tenant isolation;
• submit health, medical, biometric, genetic, or other sensitive personal information not expressly requested by the Platform; or
• use the Platform for money laundering, sanctions evasion, or fraud.

The Business must maintain records reasonably sufficient to substantiate:

• Offer terms and prices;
• customer acceptance;
• fulfillment;
• cancellations and refunds;
• licenses and insurance;
• taxes;
• staff authorization;
• Business Content ownership, licenses, permissions, releases, and substantiation; and
• disputes and chargebacks.

The Business must cooperate with reasonable investigations involving fraud, safety, customer complaints, legal compliance, payment disputes, intellectual-property complaints, privacy, or Platform misuse.

aiMyDeal may review relevant records and account activity where reasonably necessary to protect users, enforce agreements, comply with law, or satisfy payment-processor requirements.

17.1 Business Content

“Business Content” means all information and materials that the Business or anyone acting on its behalf submits, uploads, publishes, transmits, displays, or otherwise provides through or for use with the Platform, including:

1. Business names, trade names, logos, trademarks, and branding;
2. photographs, images, graphics, illustrations, videos, audio, and music;
3. descriptions, Offer copy, advertisements, prices, savings claims, terms, and promotional materials;
4. reviews, testimonials, endorsements, customer statements, and responses;
5. documents, files, data, records, and other materials; and
6. content supplied by the Business’s owners, employees, contractors, photographers, designers, agencies, vendors, locations, or other representatives.

The Business retains any ownership rights it has in its Business Content.

17.2 License to aiMyDeal

The Business grants aiMyDeal a non-exclusive, worldwide, royalty-free, sublicensable license to host, store, reproduce, copy, format, adapt for technical or display purposes, resize, crop, transmit, display, distribute, and otherwise use Business Content as reasonably necessary to:

1. operate, provide, secure, maintain, and improve the Platform;
2. create and display the Business’s profile, locations, listings, Offers, advertisements, and related materials;
3. communicate and promote the Business, its listings, its Offers, and the Platform;
4. provide customer support and prevent fraud or misuse; and
5. comply with law, enforce these Business Terms, and respond to claims or legal process.

This license continues for as long as the Business Content remains on the Platform and afterward to the extent reasonably necessary for backups, records, completed transactions, legal compliance, dispute resolution, and materials previously distributed with the Business’s authorization.

aiMyDeal will not acquire ownership of the Business Content solely because of this license.

17.3 Business representations and warranties

The Business represents and warrants that:

1. it owns the Business Content or has obtained all licenses, permissions, consents, releases, and other rights necessary to provide it and authorize aiMyDeal’s use under these Business Terms;
2. the Business Content and aiMyDeal’s authorized use of it do not and will not infringe, misappropriate, or violate any copyright, trademark, trade dress, patent, trade secret, privacy, publicity, confidentiality, contractual, or other right;
3. it has obtained legally sufficient permission from every identifiable person whose name, image, likeness, voice, testimonial, personal information, or other protected attribute appears in the Business Content;
4. testimonials, endorsements, ratings, reviews, savings claims, and other factual or promotional statements are genuine, accurate, supportable, and lawfully used;
5. the Business Content is not false, misleading, defamatory, deceptive, unlawful, obscene, threatening, discriminatory, malicious, or harmful;
6. the Business Content does not contain malware, hidden code, tracking technology, or personal information that the Platform did not request or that the Business is not authorized to provide;
7. all licenses and permissions will remain effective for as long as the Business Content is used through the Platform; and
8. the Business will maintain records reasonably sufficient to demonstrate its ownership, permissions, licenses, releases, and substantiation upon request.

The Business remains responsible for Business Content even when it was created, selected, purchased, licensed, uploaded, or provided by an employee, contractor, photographer, designer, marketing agency, vendor, location, or other person acting for or through the Business.

17.4 Review, rejection, and removal

aiMyDeal may, but is not obligated to, review Business Content.

aiMyDeal may reject, restrict, disable, remove, preserve, or refuse to publish Business Content when it reasonably believes that the content:

1. violates these Business Terms, another aiMyDeal policy, or applicable law;
2. may infringe or violate another person’s rights;
3. creates privacy, security, safety, fraud, reputational, payment, or legal risk;
4. is inaccurate, misleading, unsupported, inappropriate, or technically harmful; or
5. is subject to a complaint, takedown request, legal demand, or governmental request.

Review, approval, formatting, publication, moderation, or failure to remove Business Content does not constitute confirmation that the content is lawful, accurate, authorized, or non-infringing and does not transfer responsibility from the Business to aiMyDeal.

The Business must promptly remove or correct Business Content when it no longer has the necessary rights or when the content becomes inaccurate, unlawful, or misleading. Removal does not eliminate liability or obligations arising from the Business Content’s earlier submission, publication, distribution, or use.

17.5 Intellectual-property complaints

The Business must promptly cooperate with any reasonable investigation concerning Business Content and provide requested ownership, license, permission, release, or substantiation records.

aiMyDeal may process copyright complaints under its Copyright and DMCA Policy and may provide information to affected parties, service providers, courts, or governmental authorities where permitted or required by law.

aiMyDeal may suspend or terminate accounts of Businesses that repeatedly infringe or are repeatedly alleged, on a reasonable and substantiated basis, to infringe intellectual-property rights.

17.6 Business responsibility

The Business is solely responsible for its Business Content and for obtaining and maintaining all rights necessary for aiMyDeal to use that Business Content as authorized by these Business Terms.

The Business’s indemnification obligations under Section 22 expressly apply to claims, demands, investigations, takedown requests, damages, settlements, penalties, losses, and reasonable costs and attorneys’ fees arising out of or relating to Business Content or an alleged failure to obtain necessary ownership rights, licenses, permissions, consents, releases, or substantiation.

A Business may receive nonpublic information concerning aiMyDeal, customers, pricing, security, operations, or other users.

The Business must:

• use confidential information only for authorized Platform purposes;
• restrict access to persons with a legitimate need;
• protect it using reasonable safeguards; and
• promptly notify aiMyDeal of unauthorized access or disclosure.

Confidentiality obligations do not apply to information that the Business can demonstrate was lawfully public, already known without restriction, independently developed, or received lawfully from another source.

aiMyDeal may investigate, limit, suspend, or terminate a Business account, remove Offers or Business Content, restrict features, hold payouts, or require corrective action where reasonably necessary because of:

• violation of these policies or law;
• fraud, chargeback, privacy, security, safety, intellectual-property, or reputational risk;
• inaccurate or unverifiable information;
• expired licenses or insurance;
• repeated customer complaints;
• failure to honor Offers or issue required refunds;
• overdue amounts;
• processor or government requirements; or
• conduct that threatens Platform integrity or users.

Where practical and appropriate, aiMyDeal may provide notice and an opportunity to correct a problem. Immediate action may be taken when delay could create harm or legal risk.

Termination does not eliminate obligations arising before termination, including payment, refund, chargeback, tax, confidentiality, indemnity, audit, content, or dispute obligations.

The Business represents and warrants that its use of the Platform, services, Offers, staff, content, and customer interactions comply with these Business Terms and applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” AIMYDEAL DOES NOT GUARANTEE CUSTOMER DEMAND, CLAIMS, REDEMPTIONS, APPOINTMENTS, RANKING, REVENUE, SAVINGS, TRAFFIC, AVAILABILITY, OR BUSINESS RESULTS.

The general disclaimers in the Terms of Service also apply.

The limitation-of-liability provisions in the Terms of Service apply to Business use.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIMYDEAL WILL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, CUSTOMER CONDUCT, SERVICE CLAIMS, CHARGEBACKS, TAXES, REGULATORY ACTION, OR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM BUSINESS USE OF THE PLATFORM.

Nothing limits liability that cannot lawfully be limited.

The Business will defend, indemnify, and hold harmless aiMyDeal and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, demands, investigations, damages, judgments, settlements, penalties, losses, refunds, chargebacks, taxes, costs, and reasonable attorneys’ fees arising out of or relating to:

• the Business’s services, locations, personnel, or operations;
• an Offer, advertisement, price, restriction, availability statement, or savings claim;
• failure to honor a valid Claim or provide a required refund;
• injury, property damage, malpractice, discrimination, licensing, or regulatory noncompliance;
• Business Content, including any allegation that Business Content or aiMyDeal’s authorized use of it infringes, misappropriates, or violates another person’s copyright, trademark, trade dress, privacy, publicity, confidentiality, contractual, or other rights, or that the Business failed to obtain a required license, permission, consent, release, or substantiation;
• misuse of customer information;
• taxes, employment, or contractor obligations;
• breach of these Business Terms or law; or
• acts or omissions of the Business’s owners, employees, contractors, agents, or users.

aiMyDeal may control the defense of a covered claim. The Business may not settle a claim that imposes liability, admission, restriction, or obligation on aiMyDeal without written consent.

Sections 21 through 23 of the Terms of Service, concerning informal dispute resolution, binding arbitration and the class-action waiver, governing law, and venue, apply to these Business Terms.

aiMyDeal may update these Business Terms prospectively. Material changes will receive any notice required by law or contract.

Continued Business use after the effective date constitutes acceptance where permitted by law. A new or materially revised arbitration provision will be handled under Section 22.10 of the Terms of Service.

Provisions concerning payments, refunds, chargebacks, taxes, confidentiality, records, intellectual property, Business Content, indemnification, limitations of liability, and disputes survive termination.
