Business Terms

These Business Terms apply to every business, tenant, franchise, multi-location group, chamber, association, mall, tourism organization, reseller, operator, location, administrator, manager, staff member, and other organization or representative that accesses or uses aiMyDeal for commercial or organizational purposes (“Business User,” “Business,” “you,” or “your”).

These Business Terms supplement the aiMyDeal Terms of Service, Privacy Policy, and Refund, Cancellation, and Dispute Policy. By creating or administering a Business account, publishing an Offer, accepting a subscription, receiving a payout, accessing customer information, or otherwise using business features, you agree to all four policies.

If these Business Terms conflict with the general Terms of Service on a matter specific to Business use, these Business Terms control for that matter. Signed order forms or enterprise agreements control only to the extent they expressly state that they override these Business Terms.

1. Authority and account responsibility

You represent and warrant that:

  1. you have authority to bind the Business and every location or brand you add;
  2. all registration, ownership, tax, banking, licensing, insurance, and contact information you provide is complete, accurate, and current;
  3. the Business is legally formed and authorized to operate where it offers services;
  4. each person using the Business account is authorized and assigned an appropriate role; and
  5. the Business is responsible for all activity performed through its accounts, users, locations, devices, and staff.

You must promptly remove access for former employees, contractors, or representatives and notify aiMyDeal of suspected unauthorized access.

2. Independent-business relationship

The Business is an independent service provider and is not an employee, agent, partner, joint venturer, franchisee, representative, or subcontractor of aiMyDeal.

Unless checkout expressly identifies aiMyDeal as the seller:

  • the Business is the seller and provider of the underlying service;
  • the customer’s service contract is with the Business;
  • the Business controls scheduling, staffing, service methods, fulfillment, safety, licensing, pricing, taxes, and customer outcomes; and
  • aiMyDeal provides marketplace, software, payment-facilitation, promotion, and administrative technology only.

Nothing in the Platform creates authority for the Business to bind aiMyDeal or make promises on aiMyDeal’s behalf.

3. Verification and onboarding

aiMyDeal may require information or documentation concerning identity, ownership, tax status, business registration, licenses, insurance, locations, banking, payment eligibility, sanctions screening, or beneficial ownership.

You authorize aiMyDeal and its service providers to verify that information. aiMyDeal may delay publishing, payments, payouts, or access until verification is complete.

Verification, approval, moderation, or continued access does not constitute certification, endorsement, or a guarantee that the Business complies with law.

4. Licenses, insurance, and legal compliance

The Business must maintain all licenses, registrations, permits, approvals, insurance, bonds, certifications, and professional qualifications required for its services and locations.

The Business is solely responsible for compliance with applicable:

  • consumer-protection and advertising laws;
  • professional and occupational rules;
  • health, safety, accessibility, and anti-discrimination laws;
  • tax and recordkeeping laws;
  • privacy and communications laws;
  • pricing, gift-certificate, coupon, and promotion rules;
  • employment and contractor obligations; and
  • industry-specific requirements.

Upon request, the Business must provide current evidence of compliance. aiMyDeal may require minimum insurance coverage for selected categories or higher-risk services.

5. Offer accuracy and honoring promotions

Every Offer must be accurate, complete, current, lawful, and not misleading.

Before publication, the Business must clearly disclose all material terms, including where applicable:

  • the service or benefit included;
  • regular price and promotional price;
  • discount calculation or savings claim;
  • start and end dates;
  • availability, claim, and redemption windows;
  • eligible days and times;
  • participating locations;
  • customer eligibility;
  • quantity, capacity, or per-customer limits;
  • reservation requirements;
  • deposits, reservation fees, taxes, or additional charges;
  • cancellation and refund terms;
  • expiration;
  • blackout dates; and
  • exclusions or prerequisites.

The Business must honor each valid claim or purchase according to the terms displayed when the customer completed the transaction, unless performance would violate law or create a genuine safety risk.

The Business may not retroactively change an already-issued claim to the customer’s detriment. If the Business cannot honor a valid transaction, it must promptly provide an appropriate reschedule, substitute accepted by the customer, or refund as required by the Refund Policy or law.

6. Pricing, savings claims, and taxes

The Business is responsible for the accuracy and legality of prices, reference prices, percentage discounts, estimated savings, fees, taxes, and promotional claims.

A stated regular price must be genuine and supportable. The Business may not inflate a reference price or advertise false scarcity, fabricated capacity, or misleading savings.

Unless aiMyDeal is legally required or expressly agrees otherwise, the Business is responsible for determining, collecting, reporting, and remitting all sales, use, income, franchise, payroll, lodging, service, and other taxes associated with its operations and transactions.

7. Locations, staff, and operational control

The Business is responsible for every location, employee, contractor, manager, and staff user associated with its account.

The Business must:

  • keep location, hours, contact, accessibility, and service information current;
  • assign the least privilege reasonably needed to each user;
  • train staff to validate claims and redemption codes correctly;
  • prevent duplicate or unauthorized redemption;
  • protect customer and transaction information;
  • supervise service delivery and customer interactions; and
  • maintain internal procedures for refunds, complaints, fraud, and emergencies.

Business administrators are responsible for reviewing account activity and promptly reporting suspicious behavior.

8. Customer information and privacy

The Business may access customer information only to:

  • verify eligibility;
  • fulfill a claim, reservation, or purchase;
  • communicate about the transaction;
  • provide customer support;
  • prevent fraud;
  • process a cancellation or refund; or
  • comply with law.

The Business may not:

  • sell customer information;
  • use it for unrelated marketing without legally sufficient consent;
  • add customers to external marketing lists merely because they claimed an Offer;
  • disclose it to unauthorized persons;
  • use it to discriminate or retaliate; or
  • retain it longer than reasonably necessary.

The Business is independently responsible for its own privacy notices, data-security practices, breach response, retention obligations, and lawful communications outside the Platform.

9. Payment processing

Payments may be processed by third-party payment processors. The Business agrees to all payment-processor terms, verification requirements, prohibited-activity rules, and network requirements that apply to its use.

When the Business is identified as the seller, the Business appoints aiMyDeal as its limited payment collection agent solely to accept customer payments on its behalf. Receipt by aiMyDeal satisfies the customer’s payment obligation to the Business only to the extent funds are successfully received and not reversed.

aiMyDeal does not guarantee that a payment, authorization, payout, or transfer will be completed.

10. Payouts, reserves, holds, and offsets

Payout timing is subject to payment clearance, processor rules, account verification, refunds, disputes, reserves, and risk review.

aiMyDeal may delay, hold, reserve, offset, reverse, or deduct amounts where reasonably necessary to address:

  • refunds;
  • cancellations;
  • chargebacks or disputes;
  • suspected fraud or prohibited conduct;
  • negative balances;
  • payment-processor requirements;
  • legal obligations;
  • failure to honor Offers;
  • account closure;
  • inaccurate information; or
  • amounts owed to aiMyDeal.

The Business must maintain sufficient funds and a valid payment method to cover amounts it owes. aiMyDeal may recover those amounts from current or future payouts, reserves, an authorized payment method, or an invoice.

11. Refunds, disputes, and chargebacks

The Business is primarily responsible for refunds relating to its services, Offer accuracy, availability, cancellations, nonperformance, customer treatment, and legal obligations.

The Business must:

  • respond promptly to refund and dispute requests;
  • provide requested records and evidence;
  • honor refund rights stated in the Offer or required by law;
  • not direct customers to file false chargebacks;
  • not retaliate against customers who exercise lawful rights; and
  • reimburse aiMyDeal for Business-responsible refunds, reversals, chargebacks, penalties, and related costs.

aiMyDeal may issue or administer a refund where reasonably necessary to protect customers, comply with law or payment-network rules, correct an error, or address the Business’s failure to respond. aiMyDeal may recover that amount from the Business.

The Refund, Cancellation, and Dispute Policy is incorporated into these Business Terms.

12. Business subscriptions and recurring fees

Paid Business plans may renew automatically until canceled.

Before enrollment, aiMyDeal will disclose the recurring price, billing frequency, renewal terms, material limitations, and cancellation method. By subscribing, the Business authorizes recurring charges until cancellation takes effect.

The Business may cancel through the available billing controls or another clearly stated method. Unless law or an order form requires otherwise:

  • cancellation stops future renewal;
  • access continues through the current paid period;
  • current and prior fees are non-refundable;
  • no prorated refund is due;
  • nonuse does not create a refund; and
  • fees already incurred remain payable.

aiMyDeal may prospectively change prices or plan features after any notice required by law or contract.

13. Transaction, platform, and other fees

The Business agrees to pay all subscription, transaction, featured-placement, campaign, service, processor, dispute, chargeback, and other fees disclosed before the charge or stated in an applicable order form.

aiMyDeal may deduct fees from payouts or charge an authorized payment method. Fees exclude taxes unless stated otherwise.

Failure to pay may result in reduced access, payout holds, account suspension, collection activity, or termination.

14. Featured placement and sponsored campaigns

Featured placement, sponsorship, and campaign services do not guarantee impressions, claims, redemptions, appointments, customers, leads, revenue, ranking, or other results unless a signed order expressly states otherwise.

The Business must ensure all sponsored content is accurate, lawful, and appropriately disclosed. Campaign fees are governed by the Refund Policy and any applicable order form.

15. Prohibited businesses, services, and conduct

The Business may not use aiMyDeal for unlawful, deceptive, unsafe, infringing, sanctioned, restricted, or prohibited activity.

Without written approval, the Business may not publish or facilitate Offers involving goods or services that aiMyDeal or its payment processors prohibit, including activities that create unusual legal, financial, safety, reputational, or chargeback risk.

The Business may not:

  • publish bait-and-switch promotions;
  • conceal material restrictions;
  • create false availability or urgency;
  • manipulate reviews, rankings, claims, redemptions, or analytics;
  • redeem codes without customer authorization;
  • create sham claims or transactions;
  • access another tenant, business, location, customer, or record without authorization;
  • scrape or reverse engineer the Platform;
  • evade fees or plan limits;
  • interfere with security or tenant isolation; or
  • use the Platform for money laundering, sanctions evasion, or fraud.

16. Records, audits, and cooperation

The Business must maintain records reasonably sufficient to substantiate:

  • Offer terms and prices;
  • customer acceptance;
  • fulfillment;
  • cancellations and refunds;
  • licenses and insurance;
  • taxes;
  • staff authorization; and
  • disputes and chargebacks.

The Business must cooperate with reasonable investigations involving fraud, safety, customer complaints, legal compliance, payment disputes, or Platform misuse.

aiMyDeal may review relevant records and account activity where reasonably necessary to protect users, enforce agreements, comply with law, or satisfy payment-processor requirements.

17. Content, branding, and intellectual property

The Business retains ownership of its logos, trademarks, photos, descriptions, Offer copy, and other materials it submits (“Business Content”).

The Business grants aiMyDeal a non-exclusive, worldwide, royalty-free, sublicensable license to host, reproduce, format, display, distribute, and use Business Content to operate, promote, secure, and improve the Platform and the Business’s listings and Offers.

The Business represents and warrants that it owns or has all rights needed for Business Content and that the content does not violate intellectual-property, privacy, publicity, contract, or other rights.

The Business may not use aiMyDeal’s trademarks or imply endorsement beyond the participation and promotional materials aiMyDeal expressly authorizes.

18. Confidentiality

A Business may receive nonpublic information concerning aiMyDeal, customers, pricing, security, operations, or other users.

The Business must:

  • use confidential information only for authorized Platform purposes;
  • restrict access to persons with a legitimate need;
  • protect it using reasonable safeguards; and
  • promptly notify aiMyDeal of unauthorized access or disclosure.

Confidentiality obligations do not apply to information that the Business can demonstrate was lawfully public, already known without restriction, independently developed, or received lawfully from another source.

19. Suspension, removal, and termination

aiMyDeal may investigate, limit, suspend, or terminate a Business account, remove Offers, restrict features, hold payouts, or require corrective action where reasonably necessary because of:

  • violation of these policies or law;
  • fraud, chargeback, privacy, security, safety, or reputational risk;
  • inaccurate or unverifiable information;
  • expired licenses or insurance;
  • repeated customer complaints;
  • failure to honor Offers or issue required refunds;
  • overdue amounts;
  • processor or government requirements; or
  • conduct that threatens Platform integrity or users.

Where practical and appropriate, aiMyDeal may provide notice and an opportunity to correct a problem. Immediate action may be taken when delay could create harm or legal risk.

Termination does not eliminate obligations arising before termination, including payment, refund, chargeback, tax, confidentiality, indemnity, audit, or dispute obligations.

20. Business warranties and disclaimers

The Business represents and warrants that its use of the Platform, services, Offers, staff, content, and customer interactions comply with these Business Terms and applicable law.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE.” AIMYDEAL DOES NOT GUARANTEE CUSTOMER DEMAND, CLAIMS, REDEMPTIONS, APPOINTMENTS, RANKING, REVENUE, SAVINGS, TRAFFIC, AVAILABILITY, OR BUSINESS RESULTS.

The general disclaimers in the Terms of Service also apply.

21. Limitation of liability

The limitation-of-liability provisions in the Terms of Service apply to Business use.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AIMYDEAL WILL NOT BE LIABLE FOR LOST PROFITS, LOST REVENUE, LOST DATA, LOST BUSINESS OPPORTUNITIES, CUSTOMER CONDUCT, SERVICE CLAIMS, CHARGEBACKS, TAXES, REGULATORY ACTION, OR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING FROM BUSINESS USE OF THE PLATFORM.

Nothing limits liability that cannot lawfully be limited.

22. Business indemnification

The Business will defend, indemnify, and hold harmless aiMyDeal and its affiliates, officers, directors, employees, agents, licensors, and service providers from claims, damages, judgments, settlements, penalties, losses, refunds, chargebacks, taxes, costs, and reasonable attorneys’ fees arising out of or relating to:

  • the Business’s services, locations, personnel, or operations;
  • an Offer, advertisement, price, restriction, availability statement, or savings claim;
  • failure to honor a valid claim or provide a required refund;
  • injury, property damage, malpractice, discrimination, licensing, or regulatory noncompliance;
  • Business Content;
  • misuse of customer information;
  • taxes, employment, or contractor obligations;
  • breach of these Business Terms or law; or
  • acts or omissions of the Business’s owners, employees, contractors, agents, or users.

aiMyDeal may control the defense of a covered claim. The Business may not settle a claim that imposes liability, admission, restriction, or obligation on aiMyDeal without written consent.

23. Dispute resolution and governing law

The informal-dispute, governing-law, and venue provisions in the Terms of Service apply to these Business Terms.

24. Changes and survival

aiMyDeal may update these Business Terms prospectively. Material changes will receive any notice required by law or contract.

Continued Business use after the effective date constitutes acceptance where permitted by law.

Provisions concerning payments, refunds, chargebacks, taxes, confidentiality, records, intellectual property, indemnification, limitations of liability, and disputes survive termination.
